These Terms of Service ("Terms") govern access to and use of Kronos AI ("Kronos," "we," "us") websites, applications, and related services (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent ("Customer"). If you do not agree, do not use the Service.

1) Eligibility and Authority

1.1 Business Use

The Service is intended for business use. You must be legally able to enter into a binding agreement.

1.2 Authority

If you use the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

2) The Service

2.1 Overview

Kronos provides tools that may include messaging management, voice channel orchestration, integrations with third-party platforms (including e-commerce platforms such as Shopify and productivity tools such as Gmail), automation, analytics, and AI-assisted features (including suggested replies, autonomous tool execution, and other generated outputs).

2.2 Changes

We may modify, update, or discontinue parts of the Service at any time. We will use commercially reasonable efforts to provide notice when changes are material, but you acknowledge the Service may evolve.

3) Accounts, Access, and Security

3.1 Account Creation

You must provide accurate and complete information and keep it up to date.

3.2 Credentials

You are responsible for safeguarding login credentials and for all activity that occurs under your account.

3.3 Admin Controls

Workspace owners/admins may control user access and permissions. If you are a workspace user, your access may be limited or removed by the workspace admin.

4) Integrations and Third-Party Services

4.1 Third-Party Platforms

The Service connects to third-party products and services that fall into two categories:

  • Messaging channels — Meta platforms (Facebook Messenger, Instagram Direct, WhatsApp Cloud API), Telegram, and the voice channel routed through Twilio.
  • Connected applications — e-commerce platforms (for example, Shopify), productivity tools (for example, Gmail), and other business applications that the Customer explicitly authorizes through OAuth.

Your use of those services is governed by their own terms and policies in addition to these Terms.

4.2 Customer Responsibility

You are responsible for configuring integrations, maintaining required permissions, complying with third-party rules (including messaging policies and e-commerce platform policies), and complying with applicable law. You authorize Kronos to act on your documented instructions when calling the connected application's APIs through the OAuth grant you provided.

4.3 Availability

Third-party services may change, become unavailable, or revoke access at their sole discretion. Kronos is not responsible for third-party service interruptions, deprecations, or policy changes. When a connected application invalidates a token or revokes a scope, the corresponding Kronos features may stop working until the Customer reconnects the integration.

4.4 Brokered API access via Composio

Connections to certain third-party applications are brokered by Composio Labs Inc., a sub-processor of Kronos described in our Privacy Policy. Composio holds the OAuth tokens issued by the upstream application on the Customer's behalf and executes tool calls Kronos initiates. By connecting an application that uses this broker, you authorize Kronos to instruct Composio on your behalf and you acknowledge that Composio acts as a data sub-processor for the calls in scope. Composio holds SOC 2 Type II and ISO 27001 certifications and provides a standard Data Processing Addendum.

5) Customer Data and Responsibilities

5.1 Customer Data

"Customer Data" means data, content, and materials that Customer (or its authorized users) submits, uploads, transmits, or otherwise makes available through the Service, including message content, related metadata from connected channels, and data fetched by AI agents from connected applications on the Customer's instruction.

5.2 Rights and Permissions

Customer represents and warrants that it has all rights, permissions, and lawful bases necessary to provide Customer Data to Kronos and to instruct Kronos to process Customer Data for the purposes of providing the Service, including the right to authorize Kronos and its sub-processors to call third-party APIs on the Customer's behalf and to process data returned by those APIs.

5.3 Compliance

Customer is responsible for complying with all laws and regulations applicable to its use of the Service, including data-protection laws (such as the EU GDPR, the UK GDPR, the CCPA, and Mexico's LFPDPPP), consumer-protection laws, messaging laws (including unsolicited-communication rules and consent requirements), and any jurisdiction-specific rules applicable to the Customer's sector.

5.4 Controller / Processor Allocation

For Customer Data that relates to the Customer's own end customers (the Customer's contacts, end users, callers, or shoppers), the Customer is the data controller and Kronos acts as the data processor on the Customer's documented instructions. 6) AI Features and Outputs

6.1 AI-Assisted Functionality

Some features use AI to generate outputs such as suggested replies, summaries, classifications, tool-call decisions, voice responses, or other recommendations ("AI Outputs").

6.2 Autonomous Tool Execution

When configured by the Customer, an AI agent may invoke tools against connected applications on the Customer's behalf (for example, updating a product price, fulfilling an order, sending an email). The Customer controls which tools each agent is allowed to call through Kronos' per-agent permission matrix and remains responsible for the outcome of those calls, including charges incurred and obligations triggered with the upstream platform.

6.3 Customer Control and Responsibility

Customer is responsible for reviewing AI Outputs and tool-execution configurations before deploying agents to production, for ensuring that content is accurate, appropriate, and compliant with applicable laws and third-party rules, and for monitoring agent behavior. AI Outputs may be incorrect or incomplete.

6.4 No Professional Advice

AI Outputs are provided for informational and operational assistance only and do not constitute legal, financial, medical, or professional advice.

7) Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, deceptive, or fraudulent activity.
  • Send spam, harassment, or content that violates third-party platform policies, including Shopify's app policies and Meta's messaging policies.
  • Infringe intellectual property rights or privacy rights of third parties, including the rights of the Customer's own end customers.
  • Use connected-application access to scrape data at volumes inconsistent with the application's API terms or rate limits.
  • Attempt to probe, scan, or test vulnerabilities, or bypass security measures of the Service or any connected platform.
  • Reverse engineer or interfere with the Service, except to the extent prohibited by law.
  • Use the Service to develop competing products through unauthorized access to the Service or proprietary information.

We may suspend or terminate access if we reasonably believe you violated these Terms or pose a security or legal risk.

8) Fees, Plans, and Billing (If Applicable)

8.1 Fees

Some features may require payment. If you subscribe to a paid plan, you agree to pay applicable fees and taxes.

8.2 Usage-Based Charges

Certain plans may include usage-based charges (for example, messaging volume, voice minutes, AI inference). Usage details will be provided in the Service or associated documentation. You are additionally responsible for any fees the upstream platform may charge for API access or message delivery.

8.3 No Refunds

Except where required by law or expressly stated in writing by Kronos, payments are non-refundable.

8.4 Late Payments

We may suspend access for overdue amounts.

9) Intellectual Property

9.1 Kronos Property

The Service, including software, interfaces, designs, and underlying technology, is owned by Kronos and its licensors and is protected by intellectual property laws.

9.2 Customer Data

Customer retains ownership of Customer Data. Customer grants Kronos a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Data, and to invoke Customer- authorized tools against connected applications, solely to provide, maintain, and improve the Service, and as otherwise permitted by these Terms and the Privacy Policy.

9.3 Feedback

If you provide suggestions or feedback, you grant Kronos the right to use it without restriction or obligation to you.

10) Confidentiality

10.1 Confidential Information

Each party may receive non-public information from the other party. The receiving party will protect it using reasonable care and use it only to fulfill obligations under these Terms.

10.2 Exclusions

Confidential Information does not include information that is publicly available through no breach, independently developed, or rightfully obtained from a third party.

11) Disclaimers

11.1 Service "As Is"

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Kronos disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 No Guarantee

We do not guarantee uninterrupted, error-free operation, or that AI Outputs will be accurate, complete, or suitable for your purposes. We do not guarantee that AI agents will execute every authorized tool call successfully; the upstream application may reject, rate-limit, or deprecate a tool at any time.

11.3 Connected-Application Behavior

Kronos is not responsible for how upstream applications (Shopify, Gmail, Meta, Twilio, Telegram, others) handle Customer Data once it leaves Kronos' infrastructure under a Customer-initiated action. Customer is responsible for reviewing and complying with each upstream application's own terms.

12) Limitation of Liability

To the maximum extent permitted by law:

  • Kronos will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill.
  • Kronos's total liability for any claim relating to the Service will not exceed the amounts paid by Customer to Kronos for the Service in the three (3) months preceding the event giving rise to the claim, or USD $100 if no fees were paid, whichever is greater.

Some jurisdictions do not allow certain limitations, so these limits may not apply to you.

13) Indemnification

Customer agrees to indemnify and hold harmless Kronos and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Customer Data or Customer's use of the Service,
  • Customer's violation of these Terms,
  • Customer's violation of applicable laws or third-party terms, including upstream application terms (Shopify, Gmail, Meta, etc.).

14) Termination

14.1 By Customer

You may stop using the Service at any time. If you are on a paid plan, cancellation and billing effects depend on the plan terms.

14.2 By Kronos

We may suspend or terminate access if we reasonably believe there is a violation of these Terms, a security risk, or legal compliance requirement.

14.3 Effect

Upon termination, your right to access the Service ends. Operational data will be purged in accordance with the Privacy Policy and the Data Deletion page. Certain sections (including IP, disclaimers, limitation of liability, indemnification, and confidentiality) survive termination.

15) Governing Law and Dispute Resolution

These Terms are governed by the laws of Mexico, without regard to conflict of laws principles. Any disputes arising out of or related to these Terms or the Service will be brought in the competent courts located in Mexico, unless applicable law requires otherwise.

16) Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date reflects the latest version. Continued use of the Service after changes become effective means you accept the updated Terms.

Shopify Connection Addendum

Scope of the connection

When you connect a Shopify store to Kronos, your AI agents can read catalog, inventory, location, order, customer, fulfillment, discount, and file data from your store; and, where you authorize a write-capable preset, can update products, inventory, orders, customers, fulfillments, discounts, and files. The specific scopes Kronos requests are the minimum required by Composio's current Shopify toolkit (which covers Shopify's Admin API) to deliver these capabilities, with additional forward-looking scopes declared up front to avoid forcing your end customers through re-consent each time a tool is added.

Protected customer data

One of the scopes requested, read_customers, is classified by Shopify as protected customer data because it includes customer name, email, phone, and address. Kronos commits to the requirements of Shopify's Level 1 and Level 2 protected-customer-data program (data minimization, transparency, encryption at rest and in transit, encrypted backups, environment separation, data-loss prevention, restricted staff access, access logging, and incident response). Mandatory compliance webhooks

Kronos subscribes to the three Shopify mandatory compliance webhooks (customers/data_request, customers/redact, and shop/redact) and verifies their HMAC-SHA256 signature on arrival. Requests are acknowledged with a 200 series status; invalid signatures return 401. The substantive action (data export to the merchant, redaction of identifiers, or shop-wide data deletion 48 hours after uninstall) is completed within 30 days.

Merchant obligations

As a Shopify merchant using Kronos, you confirm that:

  • You have the right to authorize Kronos and Composio to access your Shopify store on your behalf.
  • You will inform your own end customers, as required by applicable law, that an AI assistant handles parts of your customer-facing operations and that their personal data may pass through Kronos and Composio for that purpose.
  • You are responsible for the content of the replies your AI agents send and for the outcomes of write-capable tool calls executed under the presets you configured.
  • You will not use the Shopify connection in violation of Shopify's Acceptable Use Policy, the Shopify Partner Program Agreement, or any Shopify-specific rules applicable to your store.

Agentic Calls (Voice Channel)

The voice channel allows callers to interact with your AI agent over the public telephone network. By activating voice for any AI agent you accept the following terms in addition to the rest of this document.

Three categories of data

  • Identity / KYC documents (RFC, INE, proof of address) submitted to provision a Mexican phone number through Twilio. These are stored privately on Kronos infrastructure and deleted after a maximum of 30 days from the regulatory decision date. They are shared only with Twilio for number provisioning.
  • Functional / operational data (call timestamps, direction, duration, phone numbers, status transitions). Retained while you are an active customer; subject to the cancellation flow described below.
  • Transcripts generated from each call. Audio is transcribed, not recorded; only the text persists. Transcripts are retained for service operation and analytics until you cancel.

Processors

Voice calls require three third-party processors. By using the voice channel you instruct Kronos to share the relevant data with each, strictly to operate the service:

  • Twilio — PSTN connectivity, number provisioning, regulatory bundle review. Per the terms you accepted when creating your Twilio account, Twilio may retain call data on its infrastructure for up to a maximum of 3 years, independent of Kronos' own retention rules. Requests to delete data held by Twilio must be directed to Twilio.
  • Google (Gemini Live) — real-time speech-to-speech model used to generate the agent's voice.
  • Groq — small Llama model used to summarize the call transcript post-call.

Controller / processor model

For data about your end-customers (callers, transcripts, decisions made during a call), you are the data controller and Kronos is the data processor acting on your instruction. You are responsible for complying with the laws of your jurisdiction, including any in-call disclosures or consent requirements your operation requires. Kronos ships a mandatory disclosure opener ("This is an AI voice assistant... say 'human' or 'agent' to be transferred to a person if available."), and you cannot remove it — but legal compliance beyond that opener (e.g. recording-consent laws in jurisdictions you operate in) is your responsibility.

Disclaimer of misuse liability

Kronos provides the platform. Kronos does NOT decide what your agent says, who it talks to, or how you advertise the service. You acknowledge that misuse of agentic calls — including but not limited to deceptive practices, unsolicited outbound dialing without consent, or violations of the laws of the jurisdictions where your callers reside — is solely your responsibility. Kronos disclaims liability for such misuse.

Cross-channel context

If you enable the cross-channel inbox context tool, your voice agent can read past conversations the same caller has had on other channels (WhatsApp, IG, Messenger, Telegram). This is powerful but it means the agent may surface or paraphrase information from a different channel that the caller did not realize was linked. Kronos disclaims liability for misuse when this option is enabled.
